According to Section 231 and 232 of the Companies Act 1994 a private limited company may convert into public limited company by fulfilling conditions as mentioned below :
- the company has at least seven members
- if passed a special resolution for this conversion by the shareholders of the company in its meeting
- alter the special provision relating to a private company as are by section 2.q of the Act required for the formation of a private company
- it shall be a public company from the date of alteration
- It shall within a period of 30 days from the date of alteration file the Register either a prospectus or statement in lieu of prospectus containing the particulars setout in Parts I and II of schedule IV subject to the provision contained in Part III of that schedule
